Effective date: October 9, 2026
Last updated: October 19, 2026
1. Who you are contracting with
VisoLab (the website at visolab.io, the VisoLab studio, and related apps and services, together the "Service") is owned, operated and billed by MLo Labs Inc. ("MLo Labs", "we", "us", "our"). VisoLab is a product and trade name of MLo Labs.
Registered address: 51 E. Liberty St, Toronto, ON M6K 3P8
Business number / registration number: GST/HST 755959962 RT0001
Email: support@visolab.io
Phone: 416-268-5004
These Terms of Service (the "Terms") are a legal agreement between you and MLo Labs. They include, by reference:
- the Privacy Policy
- the Refund & Cancellation Policy
- the Acceptable Use and AI Content Policy in Section 8, and the Likeness and voice policy
- the Copyright and takedown page
- the Data Processing Addendum, where it applies
- the Cookie notice
- any plan details shown at checkout
By creating an account, checking the box to accept these Terms, or buying a plan, you agree to these Terms. If you don't agree, don't use the Service.
2. Plain-language summary (not a substitute for the full Terms)
- MLo Labs runs and bills VisoLab. Charges appear on your statement as "MLOLABS*VISOLAB".
- Paid plans renew automatically until you cancel. You can cancel any time in Billing, and access continues to the end of the paid period.
- Credits aren't money. Plan credits reset to your allowance each month and do not roll over. Extra packs expire 90 days after purchase and have no cash value.
- You keep your rights in what you upload. As between you and us, outputs are yours. But AI output may not be protected by copyright and may resemble other people's work.
- We don't use your content to train AI models.
- On every plan except Max, we may show your creations and prompts in our gallery and marketing, never your uploads or identifiable real people. In Quebec, showcasing is off by default (Section 20.8).
- Don't use VisoLab to make illegal, sexual-minor, non-consensual intimate, deceptive deepfake, hateful or infringing content.
- Ontario law governs. If you're a consumer, the consumer-protection rights where you live still apply. US users: individual arbitration with a 30-day opt-out (Section 15).
3. Eligibility
You must be at least 18 to create an account or buy a plan.
If you use the Service for an organization, you confirm you have authority to bind it, and "you" includes that organization.
You may not use the Service if the law bars you from doing so, including if you are on a Canadian, US or other applicable sanctions list or are in a country under comprehensive sanctions. You're responsible for using the Service in line with the laws that apply to you.
3A. Eligibility & territory
The Service is offered only to residents of Canada and the United States. By creating an account or buying a plan, you confirm that you live in one of those countries, and that your billing address is there. We may block or refuse sign-ups, payments or access from other countries, and we may close an account we reasonably believe belongs to someone outside Canada or the US. If we close an account under this section without any breach of these Terms, we'll refund any unused prepaid fees and unused, unexpired pack credits. Using a VPN or false information to get around this is a breach of these Terms.
4. Accounts and security
Accurate information. You'll give accurate information and keep it up to date.
Sign-in methods. You can sign in with email and password, or with Google. If you use Google, we receive only your basic profile details, as described in our Privacy Policy, and your use of your Google account stays subject to Google's own terms. Keep your credentials confidential.
Your responsibility. You're responsible for activity on your account until you tell us about unauthorized use at security@visolab.io.
Email verification. We may require it before you generate, upload or buy.
One account per person. Unless we agree otherwise, don't share, sell or transfer accounts.
5. The Service, and third-party AI providers
Models in VisoLab are developed or hosted by third parties, including Runware and the model developers it hosts (the "Providers"). MLo Labs doesn't control the Providers. They may filter, refuse, change or withdraw a model at any time. Each Provider's usage policy applies to your use of its model and is linked in the studio. To the fullest extent the law allows, MLo Labs isn't responsible for a Provider's acts, omissions, outages or outputs, and gives no promise about a Provider's model beyond what these Terms say.
Each model is provided by a third-party AI provider. Your use of a model is also subject to that provider's usage policy, linked next to the model in the studio and listed at visolab.io/legal/subprocessors. You must follow it. If it conflicts with these Terms, the stricter rule applies.
We aim to keep VisoLab available, but we don't guarantee any uptime, speed, model or feature. We may change, suspend or retire parts of the Service. Where a change removes a material feature of a plan you've prepaid, you may cancel and get a pro-rata refund of the unused prepaid period.
Beta features. We may offer these "as is" and change or end them.
6. Plans, credits and billing
6.1 Who bills you
All paid plans are sold and billed by MLo Labs. Payments are processed by our payment processor, Airwallex. We don't store full card numbers; Airwallex does.
- Currency: prices are in USD unless the checkout page says otherwise.
- Taxes: applicable taxes are added at checkout.
- Foreign transaction fees: your bank may charge conversion or foreign transaction fees.
6.2 Subscriptions and automatic renewal
PAID PLANS ARE SUBSCRIPTIONS THAT RENEW AUTOMATICALLY at the end of each billing period (monthly or annual, as you chose). We charge the then-current price to your saved payment method until you cancel.
Before you pay, the checkout shows:
- the plan
- the price and currency
- the billing period
- the renewal date
- the processing fee that applies to voluntary refunds
and we ask you to accept automatic renewal expressly.
For annual plans, we'll email you a reminder at least 30 days before renewal, with the renewal price and how to cancel. For monthly plans, we email you once a year with your price, renewal schedule and how to cancel.
6.3 How to cancel
You can cancel any time in Billing → Cancel at period end (the Billing page in your account), or by emailing support@visolab.io from your account email with "Cancel" in the subject.
- Cancellation stops future renewals.
- Your plan stays active until the end of the period you've paid for. Then the account moves to the Free plan.
- We'll confirm cancellation by email, including the date your access ends.
- Cancelling doesn't by itself refund the current period. Refunds are covered by the Refund & Cancellation Policy and by any rights you have under consumer law.
6.4 Credits
Credits are a licence to use the Service. They are not money, a deposit, stored value or property, and aren't redeemable for cash. They can't be sold or transferred, except as the Refund & Cancellation Policy or the law provides. We may change the number of credits a model costs. The cost is shown before you run a generation.
Credits:
1. come in two balances: plan credits (included with your plan) and purchased credits (from extra credit packs)
2. plan credits reset each month to that plan's allowance. Unused plan credits expire and do not roll over, including on yearly plans (billed yearly; the plan-credit balance is reset each month)
3. purchased credits expire 90 days after the day you buy the pack (the date is shown in Billing). Until then they stay usable after you cancel a subscription. Packs bought before October 9, 2026 don't expire
4. are spent in this order: plan credits first, then purchased credits (the pack that expires soonest first)
5. Credits we return to you after a failed generation keep the expiry date of the pack they came from, or expire 90 days after they are returned.
6. are removed when your account is closed or terminated, and expired credits are removed from your balance
If a generation fails because of a technical error on our side or the provider's, we'll return the credits to the balance(s) they were taken from.
6.5 Extra credit packs
If you're on an active paid plan, you can buy extra credit packs as a one-time purchase. Packs are priced in USD; applicable taxes (including GST/HST) are added at checkout the same way as subscriptions. Pack credits are added after payment is confirmed. Free-plan users can upgrade instead of buying a pack.
6.6 Free plan
The Free plan includes 1,250 plan credits a month. They reset each month on the anniversary of the day you signed up (or the last day of a shorter month). Unused Free credits don't roll over. It's available after you verify your email and accept these Terms. We may change or end free grants with notice.
6.7 Changes to plans
- Upgrades take effect once the payment for the difference has cleared. We charge your saved payment method the new plan's price for the rest of the current billing period and refund the unused part of your current plan to the same payment method (a separate refund that can take several business days to appear, so overall you pay the difference), add the difference between the new and old monthly allowances to your plan credits (never above the new allowance), and charge the new full price from your next billing date. If that payment does not clear within 24 hours, the upgrade is cancelled and you are not charged.
- Downgrades and cancellations take effect at the start of your next billing period, when plan credits reset to the new plan's (or Free's) allowance. You keep your current plan until then, and the rest of the current period is not refunded. A scheduled downgrade can be cancelled before it starts. Purchased credits are unchanged.
6.8 Price changes
We may change prices or credit allowances. We'll give you at least 30 days' notice by email before a price increase applies to your plan. The new price applies from your next renewal after the notice period, unless you cancel before then. For Quebec consumers, see Section 20.5.
6.9 Failed payments and chargebacks
If a renewal payment fails, we may retry it and may pause or downgrade your plan until it's paid. If you think a charge is wrong, contact support@visolab.io first; we'll try to fix it quickly. If you dispute a charge you authorized, we may pause the account while the dispute is open. That doesn't apply where you are using a legal right to reverse a charge.
6.10 Enterprise
Enterprise plans are governed by a separate order form or agreement with MLo Labs. That agreement wins over these Terms if they conflict.
7. Your content and outputs
7.1 Inputs
"Inputs" means prompts, uploaded images, audio, video, reference files and other material you provide. You keep all rights you have in your Inputs.
You confirm that, for every Input:
- you own it, or have every right and permission needed to upload it and let us use it as these Terms allow
- if it shows, names or voices an identifiable person, you have that person's informed consent (or a parent's or guardian's for a minor), and you'll follow the Likeness and voice policy
- it doesn't infringe anyone's copyright, trademark, privacy, personality or publicity rights
You must not prompt for or generate an identifiable real person without their consent. Content of real people is never used in our showcase (Section 7.3(c)).
7.2 Outputs
"Outputs" means images, video, audio and other content the Service generates for you.
As between you and MLo Labs, and to the extent we have any rights in an Output, we assign them to you. You can use Outputs for personal or commercial purposes, subject to these Terms, the law, and any provider terms that apply to the model you used.
Please understand that:
1. AI-generated material may not be protected by copyright in Canada, the United States or elsewhere, especially where there was little human creative input. We don't promise you can register or enforce copyright in any Output.
2. Outputs may not be unique. Similar or identical Outputs may be generated for others, and you don't get rights in their Outputs.
3. Outputs may resemble existing works, trademarks or real people. You're responsible for checking an Output before you publish, sell or rely on it, including clearing third-party rights and getting any releases you need.
No intellectual-property indemnity. Unless an Enterprise agreement says otherwise, we don't defend or compensate you if someone claims an Output infringes their rights.
7.3 Licence you give us
(a) To run the Service. You grant MLo Labs a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display to you and make technical copies of your Inputs and Outputs. We use it only to:
- operate, secure and support the Service
- send Inputs to the Provider of the model you choose
- enforce these Terms
- comply with law
(b) Showcase and marketing (all plans except Max). You grant MLo Labs a worldwide, non-exclusive, royalty-free, non-transferable licence to reproduce, publicly display, crop, resize, reformat and caption your Outputs, and the prompts used to make them, in VisoLab's public gallery and in materials that promote VisoLab, including our website, social media, advertising, presentations and press. We may sublicense it only to service providers and ad platforms acting for us to deliver those materials. This licence is part of every plan except Max, and it isn't something you can switch off on those plans. If you want your work kept private, choose the Max plan. You can also ask us to remove an item under (e). We may credit you by your display name, or show work uncredited. We never show your real name, email or account details without your permission. For consumers resident in Quebec, see Section 20.8.
(c) Never used under (b):
1. anything you upload (images, video, audio, reference and character files)
2. any Output or prompt that depicts, names or imitates the voice of an identifiable real person, including you
3. Outputs made while your account was on the Max plan, even after you change plans
4. content covered by an Enterprise agreement or our Data Processing Addendum
5. content we've removed under (e)
(d) No training. We don't use your Inputs, Outputs or prompts to train, fine-tune or otherwise improve any AI model, ours or anyone else's. We send them to a Provider only to produce your Output, under terms that don't let the Provider train on them by default.
(e) Removal on request. You, or anyone shown or voiced in an Output, can ask us to remove an item from our gallery, marketing or ads at privacy@visolab.io or the contact form with a link and how it relates to you. Intimate images: the intimate-image removal form (48 hours). Gallery items also have a Remove from gallery button.
- Real people (likeness): we take the item down within 2 business days and don't use it again.
- Your own work: we remove it from our gallery, and stop using it in new marketing and ads, within 10 business days. We also take it out of live ads and owned channels we control within the same time.
- What we can't do: recall printed materials, or copies others have already made or shared.
(f) End of the licences. The licence in (a) ends when you delete the content or your account, except for reasonable backups and copies the law requires us to keep. The licence in (b) ends for an item when it is removed under (e), or when you delete it or your account. We then stop new uses, and take the item out of our gallery and live ads within 10 business days.
Personal information of others. If you use the Service for an organization and put other people's personal information into it, our Data Processing Addendum applies and is part of these Terms.
7.4 Our property
The Service, including software, design, the "VisoLab" name and logos, templates we provide, and documentation, belongs to MLo Labs or its licensors.
We give you a limited, revocable, non-transferable right to use the Service under these Terms. Templates and sample media we provide may be used inside your projects, but not redistributed as stand-alone assets.
7.5 Feedback
If you send us suggestions, we may use them without any obligation to you.
8. Acceptable Use and AI Content Policy
You must not use the Service to create, upload, request, store or share any of the following.
1. Child sexual abuse or exploitation material. Any sexual or sexualized depiction of a minor, or of anyone who appears to be a minor, including fictional, drawn or "aged-up" depictions. There are no exceptions. We report apparent child sexual abuse material to the relevant authorities and organizations as Canadian law requires. We preserve related data as the law requires.
2. Non-consensual intimate imagery. Nude, sexual or intimate images, video or audio of a real, identifiable person without their consent, including sexual deepfakes and "undressing" edits.
3. Deceptive impersonation and deepfakes. Content that falsely depicts a real person saying or doing something, in order to deceive, defraud, defame or harass. This includes voice clones of a real person without their consent. Political or election content that misleads people about what a candidate, official or public body said or did is also prohibited. If you publish realistic synthetic media of real people or events, you must label it as AI-generated wherever the law or the platform requires.
4. Harassment, hate and violence. Content that threatens, bullies, doxxes or incites violence, or that promotes hatred against people based on a protected characteristic. Content that glorifies terrorism or extremist violence.
5. Illegal content and activity. Content that is illegal where you are or in Canada. This includes fraud, phishing, scams, counterfeit documents or IDs, and instructions for weapons capable of mass harm.
6. Intellectual property infringement. Content that infringes copyright, trademarks, publicity or privacy rights. This includes uploading others' work without permission to imitate or reproduce it.
7. Sexual content. Sexually explicit content of any kind. Real people are never allowed (see item 2).
8. Abuse of the Service. Bypassing safety filters, rate limits or credit metering. Scraping, reverse engineering or overloading the Service. Probing security, except through responsible disclosure to security@visolab.io. Reselling accounts or credits. Using the Service to build a competing model or dataset. Using automation we haven't allowed.
Enforcement. We may use automated and human review. We may refuse prompts, remove content, withhold credits used for violating content, and suspend or close accounts.
We don't promise to review every generation before it's made. Where it's lawful and safe, we'll tell you what action we took and why, and give you a way to respond at support@visolab.io.
Reporting. Email:
- support@visolab.io for abuse
- copyright@visolab.io for intellectual property
- the intimate-image removal form for non-consensual intimate imagery (we remove it within 48 hours of a valid request)
- privacy@visolab.io if you see yourself, your voice or your work in our gallery or marketing (we take likeness content down within 2 business days)
8A. Your responsibility and compliance with laws
8A.1 Compliance. You must use the Service, and every Input and Output, in compliance with all laws that apply to you, where you live and where you use the Service, and the laws of Ontario and Canada. This includes laws on:
- (a) copyright, trademark and other intellectual property
- (b) privacy, personal information and biometric data
- (c) personality and publicity rights, and the use of a person's name, image, likeness or voice
- (d) defamation, harassment and hate speech
- (e) deepfakes, synthetic media and AI labelling, including election and political-advertising laws
- (f) child sexual abuse and exploitation material, which we report to authorities as the law requires
- (g) non-consensual intimate images
- (h) consumer protection, advertising and unfair competition
- (i) export controls and sanctions (8A.3)
You must also follow Section 8 (Acceptable Use) and any Provider usage policy for the model you use.
8A.2 You're responsible for your content. You are solely responsible for your prompts and other Inputs, for the Outputs you generate, and for how you use, publish, share or sell them, including checking that an Output is lawful, accurate and free of third-party rights before you rely on it or publish it. MLo Labs doesn't pre-screen, and has no obligation to monitor, Inputs or Outputs. We may review, refuse, filter or remove content to enforce these Terms or the law. If we do, we don't take on any responsibility for the content, and we don't owe you any duty to keep doing it. To the maximum extent permitted by law, MLo Labs isn't liable for any Input, any Output, or any use of them, by you or anyone else.
8A.3 Export controls and sanctions. You confirm that:
- (a) you are not, and aren't owned or controlled by or acting for, a person listed under Canada's Special Economic Measures Act, Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law) or United Nations Act regulations, or on the US Treasury OFAC Specially Designated Nationals and Blocked Persons List or another US government restricted-party list (including the Commerce Department's Entity List)
- (b) you aren't located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive Canadian or US sanctions
- (c) you won't use, export or re-export the Service or any Output in breach of Canada's Export and Import Permits Act or the US Export Administration Regulations (15 C.F.R. Parts 730–774) or OFAC regulations (31 C.F.R. Chapter V)
We may block, suspend or close accounts, and refuse or reverse payments, to comply with these laws.
8A.4 No professional advice. Outputs and anything else in the Service are not legal, financial, medical, tax, engineering or other professional advice. Don't rely on them for those purposes.
8A.5 Third-party models. Models are developed or hosted by third-party Providers (Section 5). To the maximum extent permitted by law, MLo Labs makes no promise about, and isn't liable for, a Provider's model, output, filtering, availability or conduct.
9. Copyright and intellectual-property complaints
If you believe content on the Service infringes your copyright, send a notice to our designated agent at copyright@visolab.io. If we removed your content and you think that was a mistake, you can send a counter-notice. The required contents, the timing and our repeat-infringer policy are on the Copyright and takedown page, which forms part of these Terms.
For other intellectual-property or trademark complaints, use the same address.
10. Third-party services and links
The Service relies on third-party services: hosting, storage, payments, sign-in and AI models. We're not responsible for their outages or decisions, or for third-party websites or services we don't control. Your use of them may be subject to their terms.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ALL OUTPUTS AND ALL PROVIDER MODELS ARE PROVIDED 'AS IS', 'AS AVAILABLE' AND WITH ALL FAULTS. MLO LABS DISCLAIMS ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED, SECURE OR ERROR-FREE OPERATION. WE DON'T WARRANT THAT ANY OUTPUT IS ACCURATE, ORIGINAL, UNIQUE, SAFE, LAWFUL, PROTECTABLE BY COPYRIGHT, OR FREE OF THIRD-PARTY CLAIMS.
Your statutory rights. Nothing in these Terms excludes or limits any warranty, condition, guarantee or right that the law doesn't allow to be excluded. That includes, for consumers in Ontario, the deemed warranty under s.9 of the Consumer Protection Act, 2002 that services are of a reasonably acceptable quality, and, for consumers in Quebec, the warranties in the Consumer Protection Act (Quebec) and the Civil Code of Québec. Where such a law applies, these disclaimers apply only to the extent that law permits.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) No indirect losses. NEITHER MLO LABS NOR ANY INDEMNIFIED PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE OR BUSINESS OPPORTUNITY, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STATUTE OR OTHERWISE), EVEN IF ADVISED OF THEIR POSSIBILITY.
(b) Cap. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID MLO LABS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (ii) US$100 (for US users) or C$100 (for all other users).
(c) Not limited. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any liability or consumer right that can't be limited by law. If you are a consumer in a province or state that doesn't allow some of these limits, those limits don't apply to you to that extent, and the rest of this section still applies.
(d) Allocation of risk. These limits reflect the price of the Service and apply even if a remedy fails of its essential purpose. Providers and Indemnified Parties are intended third-party beneficiaries of Sections 11–13.
13. Indemnity
To the maximum extent permitted by law, you'll defend, indemnify and hold harmless MLo Labs, its affiliates, and their directors, officers, employees, contractors and Providers (the "Indemnified Parties") from and against any third-party claim, demand, investigation or proceeding, and all related losses, damages, fines, penalties, settlements, costs and reasonable legal fees (including lawyers' and experts' fees), arising out of or relating to:
- (a) your Inputs
- (b) Outputs you generated, or your use, publication, distribution or sale of them
- (c) your breach of these Terms, Section 8 or 8A, or a Provider usage policy
- (d) your violation of any law or of anyone's rights, including intellectual property, privacy, personality, publicity and contract rights
- (e) anyone using your account
This doesn't apply to the extent a claim is caused by an Indemnified Party's own breach, negligence or wilful misconduct. We'll notify you promptly. You may control the defence with counsel reasonably acceptable to us. You may not settle in a way that admits fault for us, or that imposes an obligation on us, without our written consent. We may take part with our own counsel at our own cost. If you are a consumer, this section applies only to the extent your consumer-protection law allows.
14. Suspension and termination
You may stop using the Service and delete your account at any time in Settings.
We may suspend or terminate your access if:
- you materially breach these Terms, including Section 8
- we're required to by law
- your use creates a security, legal or safety risk
- your account is unpaid
- we discontinue the Service
We may suspend access immediately, without prior notice, where we reasonably believe it's needed to prevent harm, to comply with law, or to stop a serious breach of Section 8 (Acceptable Use).
Where it's reasonable, we'll give notice and a chance to fix the problem first.
If we discontinue the Service or terminate without cause, we'll give at least 30 days' notice where possible. We'll also refund any prepaid fees for the unused part of your paid period, and the price of any purchased credits that haven't expired or been used.
If we terminate for your material breach, prepaid fees aren't refunded, except where the law requires.
Export window. After termination you may export your content for 30 days (unless termination was for illegal content or the law prohibits it). After that we may delete it, as described in the Privacy Policy.
What survives termination: Sections 6.4–6.5 (credits), 7 (except licences that end on deletion), 8A.2–8A.5, 11, 12, 13, 15, 18 and any payment obligation survive the end of these Terms or your account.
15. Governing law and disputes
(a) Governing law. These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. For US users, (e)–(h) are governed by the US Federal Arbitration Act, and the law of your state applies where it can't be displaced by agreement. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
(b) Talk to us first. Email support@visolab.io with 'Dispute' in the subject, and include your name, account email and what you want. Both sides will try in good faith to resolve it within 30 days before starting a claim or arbitration.
(c) Canadian users: the courts of Ontario sitting in Toronto have jurisdiction. Consumers may also sue where they live if their law allows it. Nothing in these Terms requires a Canadian consumer to arbitrate, or waives a Canadian consumer's right to start or join a class proceeding. In Ontario that's because of the Consumer Protection Act, 2002, ss.7(2) and 8, and in Quebec because of the Consumer Protection Act, s.11.1. Canadian business users submit to the exclusive jurisdiction of the Toronto courts.
(d) Small claims. Either party may bring an individual claim in small-claims court where it qualifies.
(e) US users: binding individual arbitration. Except under (d), and for claims to stop infringement or misuse of intellectual property, any dispute between you and MLo Labs about the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (business users: its Commercial Rules). It will be heard by one arbitrator, by videoconference or in the county where you live. YOU AND MLO LABS WAIVE THE RIGHT TO A JURY TRIAL. We pay AAA filing, administration and arbitrator fees above what you'd pay to file in court, unless the arbitrator finds your claim frivolous.
(f) Class-action waiver (US). Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may award relief only to the individual party. If this waiver is found unenforceable for a claim, for example a request for public injunctive relief, that claim goes to court in the user's home state or the Southern District of New York, and is paused until the individual arbitration is finished. It is never arbitrated as a class.
(g) Mass arbitration (US). If 25 or more similar demands are filed by or with the help of the same law firm or organization within 90 days, the AAA Mass Arbitration Supplementary Rules apply. The demands are handled in batches of up to 50, one arbitrator per batch. Fees are charged per batch, and the statute of limitations is paused while demands wait. The parties will first hold a good-faith settlement conference.
(h) 30-day opt-out (US). You may opt out of (e)–(g) within 30 days of first accepting these Terms by emailing legal@visolab.io with your name, account email and 'Arbitration opt-out'. Opting out doesn't affect the rest of these Terms. Disputes then go to the courts in (f).
(i) Changes. If we change (e)–(h), the change won't apply to a dispute we were told about before the change took effect.
A business user must start any claim within one year after it arises, as permitted by s.22(5) of the Limitations Act, 2002 (Ontario). This one-year limit does not apply to consumers.
16. Changes to these Terms
We may update these Terms. If a change materially affects your rights, we'll:
- notify you by email or in the studio at least 30 days before it takes effect, except where a change is legally required or addresses a security or abuse issue
- ask you to accept the new version before you continue using the studio
If you don't accept, you may cancel. If a material change takes effect during a paid period you've already bought, we'll refund the unused portion on request.
The "Last updated" date at the top shows the current version. For Quebec consumers, see Section 20.5.
17. Notices and communications
- To you. We send notices to your account email or in the studio.
- To us. Send legal notices to MLo Labs at 51 E. Liberty St, Toronto, ON M6K 3P8 and legal@visolab.io.
- Electronic records. You agree to receive receipts, agreement copies and notices electronically.
- Marketing. We'll only send marketing email with your consent, and you can unsubscribe at any time (see the Privacy Policy).
18. General terms
- Entire agreement. These Terms (with the documents they incorporate) are the entire agreement between you and MLo Labs about the Service.
- Severability. If a court or arbitrator finds any part of these Terms invalid or unenforceable for you or for a type of claim, that part is limited or removed only to the minimum extent needed, only as it applies to you or that claim, and the rest of these Terms stays in effect. For the US class-action waiver, Section 15(f) controls.
- No waiver. Not enforcing a right isn't a waiver of it.
- Assignment. You may not transfer these Terms without our consent. MLo Labs may transfer them to an affiliate or a successor to the VisoLab business, with notice to you. Your rights under these Terms aren't reduced.
- Force majeure. Neither of us is liable for delays caused by events beyond reasonable control, including provider outages, internet failures, natural disasters, government action, failures of Providers, payment processors or cloud hosts, cyberattacks, and changes in law. This doesn't excuse payment obligations or refunds owed.
- Third-party beneficiaries. Providers and Indemnified Parties are intended third-party beneficiaries of Sections 11–13.
- Independent parties. No partnership, agency or employment relationship is created.
- Language. These Terms are drafted in English. A French version is available. Vous pouvez consulter ces conditions en français. / You may request the English version. For Quebec consumers, the French version is presented first (Section 20).

20. Quebec consumers
These clauses apply to consumers resident in Quebec. Where they conflict with the rest of the Terms, they win for Quebec consumers.
20.1 Arbitration and class actions. Section 15(e)–(h) (arbitration, class-action waiver, mass arbitration) doesn't apply to you. No clause of these Terms requires you to submit a dispute to arbitration, limits your right to go to court, or stops you from bringing or joining a class action (Consumer Protection Act, CQLR c P-40.1, s.11.1). After a dispute arises, you and we may still agree to arbitrate it.
20.2 Courts. You may bring any claim before the courts of Quebec. We can't rely against you on any clause that gives jurisdiction to courts outside Quebec (Civil Code of Québec, art. 3149).
20.3 Governing law. Ontario law governs these Terms, but this choice doesn't deprive you of the protection of the mandatory rules of Quebec law (CCQ art. 3117). Where those rules apply, they prevail.
20.4 Liability. Sections 11 and 12 don't exclude or limit our liability for our own act or that of our representatives (Consumer Protection Act, s.10), or the legal warranties of quality and of conformity in the Act (ss.37, 38 and 53) and the Civil Code of Québec. Where those rules apply, Sections 11–13 apply only to the extent Quebec law permits. Section 13 (indemnity) applies to you only for third-party claims caused by your own fault.
20.5 Changes to these Terms. If we change a material element of these Terms, we'll send you a written notice in French at least 30 days before it takes effect. The notice will set out the new clause alone, or next to the old one, the date the change takes effect, and your right to refuse it. If the change increases your obligations or reduces ours, you may refuse it and cancel your contract at no cost and without penalty, by giving notice up to 30 days after the change takes effect (Consumer Protection Act, ss.11.2–11.4).
20.6 Distance contract. Before you subscribe, we disclose the information required by s.54.4 and send you a copy of the contract within 15 days (s.54.7). If we don't, you may cancel within 7 days of receiving the copy, or within 3 months if no copy was sent (s.54.8). We then refund you within 15 days (s.54.13). If we don't, you may ask your card issuer to reverse the charge (s.54.14).
20.7 Refund fee. The processing fee in the Refund Policy, section 2.4, never applies to a cancellation or refund made under the Act.
20.8 Showcase and marketing. For consumers resident in Quebec, the licence in Section 7.3(b) applies only if you turn it on yourself in Settings → Privacy. It's off by default. You can withdraw your consent at any time, and we then remove your content under Section 7.3(e).
